<p><strong>NO PURCHASE NECESSARY TO ENTER OR  WIN.</strong></p>
<p><strong><br />
</strong></p>
<p><strong>1.ELIGIBILITY:</strong> Contest open to women 18 years of age<br />
or older as of date  of entry and who are legal residents of the 50<br />
United States. Contest void  wherever prohibited by law, or where the<br />
registration or filing requirements of  any state or local jurisdiction<br />
have not been complied with. Employees of WE:  Women&#8217;s Entertainment<br />
LLC, Meredith Corporation (herein collectively &#8220;Sponsors&#8221;),<br />
Travelocity.com LP, and Wyndham Worldwide Corporation (herein<br />
collectively (&#8220;Prize  Partners&#8221;), The Promotion Pipeline (herein<br />
&#8220;Agency&#8221;),  their respective affiliates,  subsidiaries, advertising,<br />
production and promotion agencies, and the immediate  families and<br />
members of the same household of each are not eligible. All  federal,<br />
state, local and municipal laws and regulations apply.</p>
<p><strong>2. PROMOTION DESCRIPTION:</strong> The &#8220;WE Do Good&#8221; Contest<br />
(the  &#8220;Contest&#8221;) provides entrants with the opportunity to  nominate a<br />
woman that has gone above and beyond in volunteerism in one of three<br />
different categories (Travelocity &#8211; Travel for Good; Wyndham Worldwide -<br />
Women On  Their Way; and WE Volunteer/Ladies&#8217; Home Journal) for the<br />
opportunity to  win a WE Do Good Award.  Contest begins at 4:00:00 pm<br />
Eastern  Time (&#8220;ET&#8221;) on April 13, 2010 and ends at 11:59:59 pm (ET) on<br />
August 31, 2010  (the &#8220;Contest Period&#8221;).  The Contest  Period consists<br />
of an Entry Phase that begins at 4:00:00 pm ET on April 13, 2010  and<br />
ends at 11:59:59 pm ET June 30, 2010 (the &#8220;Entry Phase&#8221;), a first round<br />
selection  phase that begins at 9:00:00 am ET July 1, 2010 and ends at<br />
5:00:00 pm ET on July  31, 2010 (the &#8220;Judging Phase&#8221;) and a viewer<br />
voting phase that begins at 9:00:00  am ET on August 2, 2010 and ends at<br />
11:59:59 pm ET on August 31, 2010 (the &#8220;Voting  Phase&#8221;).</p>
<p><strong>3. TO ENTER:</strong> To enter visit <span style="text-decoration: underline;">WEVolunteer.tv/WEDoGood</span><br />
(the &#8220;Website&#8221;) during the Entry Phase, write  an essay of two hundred<br />
and fifty (250) words or less (&#8220;Submission&#8221;) as  detailed under<br />
&#8220;Submission Requirement.&#8221;   Then complete and submit official Contest<br />
entry form,  along with essay, including name, address, e-mail address,<br />
telephone number, indicate  which category the Submission is for and<br />
affirmatively indicate acknowledgement  and acceptance of these Official<br />
Rules and all other terms and conditions  governing the Contest.   Each<br />
Submission that is entered into the Contest must meet  the following<br />
&#8220;Submission Requirements&#8221; (any Submission that, in  Sponsors&#8217; sole and<br />
absolute discretion, violates the following criteria will be<br />
disqualified).</p>
<p><strong>4. SUBMISSION  REQUIREMENTS: </strong> Submission for all<br />
categories must be an original essay of two hundred and fifty (250)<br />
words or  less in which entrant nominates a woman in their local<br />
community, who is 18  years of age or older, and who has dedicated an<br />
extraordinary amount of her  time and effort as a volunteer to a cause<br />
or non-profit organization.  Entrants may nominate more than one person,<br />
but may only nominate a specific person one time.   Entrant must<br />
select the category in which they are submitting.  Any entry, which in<br />
the sole opinion of Sponsors  is deemed to be inappropriate for<br />
publication will be deemed ineligible.  Once  an essay is submitted it<br />
cannot be changed, altered or modified and must meet  the following<br />
requirements: (a) must be the original and the sole writing of  entrant;<br />
(b) all rights, title and interest must be owned solely by the entrant;<br />
(c) may not have been submitted to any  other competition; (d) may<br />
not have been published;   (e) may not infringe  upon any third party&#8217;s<br />
rights, including but not limited to copyright, or  rights of privacy or<br />
publicity, or contain material that is or may be  considered<br />
defamatory, slanderous or libelous, or portray in a false  light; and<br />
(f) may not violate any  law, rule or regulation; and each nominator<br />
warrants and represents that  his/her essay complies with all of these<br />
conditions.</p>
<p>Specific Category Submission  Requirements are as follows:</p>
<ul type="disc">
<li>Travelocity, Travel for Good Award Criteria: essay must describe a dedicated woman who volunteers and has a passion for travel.</li>
</ul>
<ul type="disc">
<li>Wyndham       Worldwide, Women On Their Way Award Criteria: essay<br />
must describe a woman who       has made measurable impact both in her<br />
career and her charitable       efforts.  This woman balances work,<br />
life and community giving.</li>
</ul>
<ul type="disc">
<li>WE       Volunteer/Ladies&#8217; Home Journal, WE Do Good Award<br />
Criteria: essay must       describe an amazing mother who has inspired<br />
her family to roll up their       sleeves, pitch in together, and make a<br />
difference in their community.</li>
</ul>
<p>Non-complying essays will be  subject to disqualification.<strong> </strong><br />
By entering, each nominator/ nominee grants permission for the use of<br />
the essay,  and nominator&#8217;s/nominee&#8217;s name to be used in any media in<br />
connection with this  Contest, and the advertising, promotion, and<br />
publicity of the Contest, and  otherwise, as stated in these Official<br />
Rules (as solely determined by Sponsors).   It is understood that the<br />
potential winning  nominee shall be required to grant Sponsors the right<br />
to use her name, likeness  and description of her volunteer work. All<br />
submitted nominations become the  property of Sponsors and will not be<br />
acknowledged or returned.</p>
<p><strong>5. WINNER SELECTION</strong>: During the Judging Phase, a<br />
panel  of judges, selected by the Sponsors, will review and select five<br />
(5) potential Finalist  nominees in each category from among all<br />
eligible nominations based on the  description of  impact of volunteer<br />
efforts on Finalist nominee&#8217;s community or specific group of individuals<br />
(30%);  cumulative effect of the Finalist nominee&#8217;s volunteer efforts<br />
(30%); amount of Finalist  nominee&#8217;s time given to the volunteer effort<br />
(20%); substance and overall  coherence of the written nomination (20%).<br />
Sponsors reserve the right to verify  any information contained in the<br />
nomination, to request additional information  about the Finalist<br />
nominee, her volunteer efforts, the program for which she  volunteers,<br />
and photographs of the Finalist nominee. In order to be considered  as a<br />
Finalist nominee, each Finalist nominee and their respective nominator<br />
will  be required to grant Sponsors the right to post her name, likeness<br />
and  description of her volunteer work on the Sponsors&#8217; websites.</p>
<p>During the Voting Phase, the five  (5) Finalists selected by the<br />
panel of judges in each category will be posted  on the Website.  The<br />
public will be invited to vote on their favorite Finalist nominee in<br />
each category during the Voting Phase.   The one (1) Finalist nominee in<br />
each  category who receives the highest total number of valid votes at<br />
the end of the  Voting Phase will be deemed the Grand Prize Winner<br />
(&#8220;Winner&#8221;) for that category.  In the event of a tie, the Finalist<br />
nominee with the highest score in  the first criterion category listed<br />
above (impact of the nominee&#8217;s volunteer  efforts on her community or<br />
specific group of individuals) will be the Winner.  Decisions of judges<br />
are final and binding in all respects. Sponsors may choose to post fewer<br />
than five (5) Finalists or to not award the prizes if, in their sole<br />
discretion, Contest does not receive a sufficient number of eligible and<br />
qualified entries.</p>
<p><strong>6. WINNER NOTIFICATION</strong> The Winner in each category<br />
and their respective  nominators will be notified by mail, telephone or<br />
e- mail on or about September  7, 2010.   The Winners and their<br />
respective nominators will be required  to complete and return an<br />
Affidavit of Eligibility/Ownership/Liability Release,  Assignment of All<br />
Rights in Pre-Existing Work and Publicity Release within seven  (7)<br />
days<strong> </strong>of notification or the  prize will be awarded to<br />
an alternate winner based on the judging criteria  outlined herein.If<br />
notification letter is returned as undeliverable, the prize  may be<br />
awarded to an alternate Finalist nominee based on the judging criteria<br />
outlined herein.  Winner MUST be willing  to participate in promotional<br />
activities in conjunction with the award or prize  is forfeited and an<br />
alternate winner will be selected, time permitting.</p>
<p><strong>7. PRIZES:</strong> Three (3) Grand Prizes &#8211; One (1) per<br />
category.   Each winner  will receive a three (3) day/two (2) night trip<br />
prize package for the Winning  Nominee and guest to New York City  <strong>late 2010</strong>,<br />
to  attend the WE Do Good Awards Gala. Trip to New York City includes<br />
round trip coach class  airfare from the major commercial airport<br />
closest to the Winner&#8217;s home, double  occupancy hotel accommodations at<br />
the hotel of Sponsors&#8217; choice, two tickets to  the WE Do Good Awards<br />
Gala and $500 spending money. (Maximum trip value $5,000  per winner.)  <strong>Winners MUST be available to travel to New  York late 2010 and to attend the WE Do Good Awards Gala</strong><br />
or prize is forfeited in its entirety and an alternate  winner will be<br />
selected, time permitting. If any Winner lives in close  proximity to<br />
New York City,  Sponsors may determine in their sole discretion, that<br />
the air transportation  component is unnecessary, and Winner will<br />
receive alternate transportation from  the Sponsors with no further<br />
obligation for any difference in prize value.  Winners&#8217; Travel<br />
Companions must also be  available for travel to New York City late<br />
2010.</p>
<p>In addition, each category Winner  will be featured in a future issue<br />
of Ladies&#8217; Home Journal magazine and will  also be featured on<br />
WEVolunteer.TV.  Appearances  are subject to availability.  Sponsors<br />
are not responsible for any circumstances that make it impractical or<br />
impossible to fulfill this element of the prize. This element of the<br />
prize has  no retail value, and if it becomes impractical or impossible<br />
to fulfill this  element, Sponsors&#8217; only obligation will be to provide<br />
the remainder of the  prize.</p>
<p>Each category Winner will also receive a one year  subscription to Ladies&#8217; Home Journal magazine, retail value $15.</p>
<p><span style="text-decoration: underline;">Additionally</span>, category winners  receive the following:</p>
<p><span style="text-decoration: underline;">Travelocity- Travel for Good Award: </span>$5,000  Voluntourism Grant<br />
from Travelocity&#8217;s Travel for Good Program. Grant is for  $2,500<br />
towards airfare to a volunteer destination and $2,500 for room and board<br />
at volunteer location for the purpose of participating in a local,<br />
established  service project. Winner may bring a travel companion, but<br />
maximum grant value  is $5,000.  Winner may select any trip from<br />
Travelocity&#8217;s official voluntourism partners: Cross-Cultural Solutions,<br />
Earthwatch Institute, Globe Aware, or American Hiking Society. Duration<br />
of trip  is determined by the trip selected by the Winner.  Winner may<br />
extend the time frame of her travel  dates at her own expense.<br />
Voluntourism  trip must be taken by May 9, 2011or this portion of the<br />
prize is forfeited in  its entirety without further obligation to the<br />
Winner.  Winner and Winner&#8217;s travel companion (if applicable)  must<br />
accept the <a href="http://www.travelocity.com/TravelForGood/ca-app-tandc.html">Terms and  Conditions</a> and <a href="http://www.travelocity.com/TravelForGood/ca-app-agreement.html">Agreement</a> for the Travelocity voluntourism grant and all conditions listed on the <a href="http://www.travelocity.com/TravelForGood/ca-grant.html">Change  Ambassadors page</a> at <a href="http://www.travelocity.com/TravelForGood/index.html">http://www.travelocity.com/TravelForGood/index.html</a>.<br />
Approximate Retail Value of Travelocity &#8211; Travel for Good Prize, the<br />
trip to New York and Ladies&#8217;  Home Journal subscription: $10,015.</p>
<p><span style="text-decoration: underline;">Wyndham Worldwide Women On Their Way  Award: </span>A three (3)  day/<br />
two (2) night all- inclusive vacation for two (2) at Playacar Palace<br />
Wyndham  Grand located in Playa del Carmen, Mexico; and a $10,000<br />
donation in Winner&#8217;s  name  to a non-profit 501 (c) (3)  organization of<br />
Winner&#8217;s choice that benefits children.  Trip portion of prize includes<br />
round trip  coach class airfare from the major commercial airport<br />
closest to the Winner&#8217;s  home, double occupancy hotel accommodations and<br />
meals (ARV Trip: $2,000). All  other expenses not listed including but<br />
not limited to taxes, gratuities,  incidentals, etc., are the<br />
responsibility of the Winner. Blackout periods and  restrictions may<br />
apply.  Travel must be  completed by December 31, 2011 or this portion<br />
of the prize is forfeited in its entirety without further obligation to<br />
the  Winner.  Donation will be made directly to  charity by Sponsors,<br />
Prize Partner or Agency in Winner&#8217;s name. Approximate Retail Value of<br />
Wyndham Worldwide Women On Their Way  Prize, the  trip to New York and<br />
Ladies&#8217; Home Journal subscription: $7,015.</p>
<p><span style="text-decoration: underline;">WE Volunteer and Ladies&#8217; Home Journal WE Do Good Award: </span>$2,500<br />
donation to a non-profit 501(c)(3) organization of the Winner&#8217;s choice<br />
and a &#8220;Mom&#8217;s  Night Out&#8221; package including a $250 Bloomingdales&#8217; gift<br />
card, $250 American  Express gift card, $100 B.R. Guest gift card and a<br />
$100 Ticketmaster gift card.  Gift cards subject to issuer restrictions.<br />
Approximate Retail Value of WE Do  Good Award to Winner, the trip to<br />
New    York and Ladies&#8217; Home Journal subscription: $5,715.</p>
<p>ARV may vary depending upon point  of departure and fare<br />
fluctuations.  Travel  companions (parent/guardian if a minor) for all<br />
prize trips will be required to  execute a Liability/ Publicity release<br />
and return it at the same time as the  Winner&#8217;s affidavit.  If a<br />
Winner&#8217;s travel  companion is a minor, a parent or legal guardian will<br />
be required to execute a  release form.  Winners will not receive  cash<br />
or any other form of compensation if actual value of prize is less than<br />
the Prize ARV in these Official Rules.   Sponsors and Prize Partners<br />
reserve the right to structure the  travel routes and select hotels for<br />
any portion of any prize in their sole  discretion.  All travel<br />
arrangements must  be made through Sponsors&#8217; agents and on carriers of<br />
Sponsors&#8217; and Prize  Partners&#8217; choice.  Winners are responsible for<br />
obtaining all necessary travel  documents including, but not limited to<br />
Passports and Visas. <strong> </strong></p>

Sponsors  reserve the right, in their sole discretion, to disqualify<br />
any entrant whose  participation may, for any reason or perceived<br />
reason, subject the contest,  Sponsors, or Sponsors&#8217; advertisers,<br />
clients, or customers to controversy, negative  publicity, scorn, or<br />
ridicule. </strong>Expenses, costs, and taxes associated with prize<br />
acceptance  and use not specifically stated herein as being provided are<br />
the sole  responsibility of the Winner.  Prizes are  awarded &#8220;as is&#8221;<br />
with no warranty or guarantee, either express or implied.  Winners will<br />
be responsible for the payment  of any taxes, gratuities, and other<br />
costs and expenses associated with prize  acceptance and use not<br />
specified as being awarded herein.  Prizes are not transferable.  No<br />

<p><strong>8.         GENERAL:</strong> This Contest  offer is void<br />
where prohibited or restricted by law and is subject to  applicable<br />

will be posted and judging  will take place from among all eligible<br />

their sole discretion, to disqualify any entrant if entrant&#8217;s  fraud or<br />
misconduct affects the integrity of the Contest.  Entries will be<br />
considered made by the  authorized account holder of the e-mail address<br />
submitted at time of  entry.   By  submitting an entry in the Contest,<br />
you acknowledge and agree that Sponsors  shall be permitted to use your<br />
entry data for marketing purposes consistent  with their privacy<br />
policies and applicable law.   All entrants further agree that in the<br />
event of any third party  claims, damages, losses or injuries, arising<br />
from or relating to this Contest,  they will indemnify Sponsors from any<br />
and all such claims, including the  attorneys&#8217; fees related thereto.<br />
By  accepting prize, winning nominator and nominee agree to release<br />
Sponsors, Prize  Partners, Agency their respective directors,<br />
employees, officers, and agents, including without limitation, their<br />
advertising and promotion agencies, from any and all liability, loss or<br />
damages  arising from or in connection with the awarding, receipt,<br />
and/or use or misuse  of prize or participation in any prize-related<br />
